Village Quality Market, LLC and its subsidiaries and affiliated companies (collectively, “Village Market”, “we”, “our”, or “us”) hereby provides the “Terms and Conditions” governing the Village Market Rewards Program (the “Rewards Program”). The Rewards Program allows participants (“you” or “your”) to enjoy exclusive saving and event opportunities. Additionally, as further detailed below, by enrolling in the Rewards Program and shopping at participating Village Market locations, you can earn Points (defined below) that can be redeemed as Cash Rewards (defined below) and applied toward Eligible Purchases (defined below). By registering to participate in the Rewards Program, you acknowledge that you have reviewed these Terms and Conditions and agree to the rules governing the Rewards Program. 

PARTICIPATION

1. Participation in the Rewards Program is subject to these Terms and Conditions and any supplemental rules or policies (“Rules”) that we may adopt from time to time. The interpretation and application of the Rules are at our sole discretion. 
2. We have the right to change, limit, modify, amend, or cancel the Rewards Program, these Terms and Conditions, the Rules, Points, Cash Rewards, Eligible Purchases, participation requirements, etc. at any time, with or without notice. Any such material changes will be posted on our website. 
3. You are responsible for remaining knowledgeable as to any changes we may make to the Rewards Program, Rules, or to these Terms and Conditions. The most current version of these Terms and Conditions will be available at www.VillageMarket.net and will supersede all previous versions of these Terms and Conditions. By continuing to participate in the Rewards Program, you agree that to be bound by these Terms and Conditions. 

ENROLLMENT

1. Only individuals 18 years of age or older are eligible to participate in the Rewards Program. Each individual may maintain only one account. Individuals residing in the same household may share an account. 
2. In order to earn and redeem Points and Cash Rewards, you must be an enrolled member of the Rewards Program (“Enrolled Member”) as described in these Terms and Conditions. If at any time your membership is terminated, you will not be allowed to earn or redeem Points or Cash Rewards and may be required to forfeit any unredeemed Points or Cash Rewards. 
3. To enroll in the Rewards Program, you may download the Village Market app on your mobile device or visit www.VillageMarket.net and follow the onscreen instructions to complete your registration, or you may ask one of our employees for assistance next time you visit a participating Village Market location. 
4. There is no fee for enrolling or participating in the Rewards Program. You accept and agree to these Terms and Conditions by submitting your registration to enroll in the Rewards Program. 
5. Membership in the Rewards Program will remain active so long as you are not in violation of the Rewards Program as defined in these Terms and Conditions. 
6. We reserve the right to terminate your membership in the Rewards Program at any time based on any violation of the Rules, Terms and Conditions, fraud, or any violation of any laws or regulations in connection with the Rewards Program privileges. If your membership in the Rewards Program is terminated, you will forfeit your Points, Cash Rewards, and all other benefits and privileges associated with your membership.
7. You may terminate your participation in the Rewards Program at any time by notifying us by email at info@villagemarket.net of your intent to terminate. Your account will be terminated within 30 days of receipt of this notice.

POINTS

1. Points can be earned by purchase of products at our participating Village Market locations. 
2. Periodically, we may provide the opportunity to earn additional Points through certain promotional offers for the Rewards Program as defined by the terms of the specific promotion. 
3. Points are calculated based on total dollars spent after applying all discounts, coupons, and returns (“Net Purchase Amount”). Net Purchase Amount increments above $0.50 will be rounded up to the next dollar for the purpose of calculating Points. You will earn one (1) “Point” (cumulatively referred to herein as “Points”) for every $1.00 in Net Purchase Amount. Your Points may deducted to reflect any returns. 
4. You can only earn, receive, and redeem Points if you are an Enrolled Member. 
5. Points will begin accruing upon your enrollment in the Rewards Program. Points will not be awarded retroactively for purchases prior to your enrollment. 
6. Points are void if not obtained in accordance with these Terms and Conditions. 
7. Your Points will be recorded and tracked on your account which you may access online at www.VillageMarket.net or by downloading the Village Market app on your mobile device. 
8. You are responsible for ensuring the accuracy of your account and you are encouraged to check your account on a regular basis. 
9. If you believe that the Points reflected on your account are inaccurate, you must notify us. 
10. You are responsible for paying all federal, state, and local taxes related to Point redemption. 

REDEMPTION

1. Points are redeemable only in increments of 500. For each 500 Points you earn, you will receive a reward value of $10 (each referred to herein as a “Cash Reward”; cumulatively referred to herein as “Cash Rewards”). 
2. Each Cash Reward is deemed awarded automatically as of the date your account reflects 500 Points (the “Award Date”). Points will be reset after each Cash Reward is awarded. 
3. Cash Rewards may only be applied toward eligible purchases at participating Village Market locations (“Eligible Purchases”). Eligible Purchases do not include alcohol, gift cards, or delivery fees, or purchases that do not meet a Net Purchase Amount of at least $10. 
4. Cash Rewards are not available for redemption until the next Eligible Purchase made by an Enrolled Member following the Award Date. The value of each Cash Reward must be redeemed in full at the time of purchase. 
5. Unused Cash Rewards will expire and be forfeited thirty (30) days after the Award Date (the “Expiration Date”). 
6. During the checkout process, Cash Rewards can be redeemed by applying them to the balance of your Eligible Purchases. Cash Reward redemption for products are final. If products are returned that were purchased using Cash Rewards, the Cash Rewards will not be restored to your account. 
7. Cash Rewards and Points have no cash value and are only redeemable for Eligible Purchases at participating Village Market locations via the Rewards Program at the value rate determined by us. 

RESTRICTIONS

1. Points and Cash Rewards may not be transferred to another person. 
2. Points and Cash Rewards are not refundable, replaceable, or transferable for cash, credit, or other Points or Cash Rewards under any circumstances unless otherwise stated by us in writing. Points and Cash Rewards have no cash value and can only be used as provided in these Terms and Conditions through the Expiration Date as permitted by law. 
3. You may not combine Points or Cash Rewards with other Enrolled Members’ accounts. 
4. If there is any abuse of the Rewards Program, failure to follow the Terms or Conditions or Rules, or any misrepresentation by you, all unredeemed Points and Cash Rewards shall be forfeited, no additional Points or Cash Rewards shall accumulate, and you will be removed from the Rewards Program. 
5. Cash Rewards earned through the Rewards Program may not be re-sold or exchanged for other goods or services. 
6. Points and Cash Rewards will be deemed to have been surrendered upon redemption and no other offers will be honored. 

TERMINATION

1. Unredeemed Points and Cash Rewards will be forfeited if the Rewards Program is terminated or if you are no longer an Enrolled Member. 
2. Any attempt to combine or sell Points or Cash Rewards will result in your removal from the Rewards Program and forfeiture of all unredeemed Points and Cash Rewards of participating Rewards Program accounts. 
3. Any fraud or abuse related to the accrual or redemption of Points or Cash Rewards will result in forfeiture of all unredeemed Points and Cash Rewards as well as cancellation of membership in the Rewards Program. 
4. If your Points or Cash Rewards are forfeited for any reason, we will not reinstate previous Points or Cash Rewards to your Rewards Program account. 
5. We reserve the right to take any other or additional action we deem appropriate in our sole discretion in the event we believe an Enrolled Member has violated any of the Rules or used the Rewards Program in a manner inconsistent with these Terms and Conditions or any federal, state, or local laws, statutes, or ordinances. 
6. Points and Cash Rewards do not constitute property of an Enrolled Member and may be revoked at any time by us as set forth herein.

LIMITATIONS AND PRIVACY

1. This Rewards Program is void where prohibited by law. 
2. Village Market, its parents, subsidiaries, affiliates, vendors, and service providers make no claims, warranties, guaranties, or representations of any kind, express or implied, with respect to Points and Cash Rewards and shall not be liable for any loss, expense (including, without limitation, attorney fees), or inconvenience that may occur in connection with the Rewards Program. 
3. By enrolling in the Rewards Program, you agree to our Privacy Policy. To learn how the personal information collected in connection with the Rewards Program may be used, read the Privacy Policy available at www.VillageMarket.net
4. We are not responsible for any incorrect or inaccurate information supplied by you while participating in the Rewards Program or for incorrect or inaccurate transcription of information. 
5. You consent by enrolling in the Rewards Program that Village Market may contact you at the provided email address and/or phone number on file regarding the Rewards Program. Our Mobile Text Terms of Use can be found at www.VillageMarket.net.
6. You may change your contact preferences at any time at www.VillageMarket.net and as further set forth in the Privacy Policy and Mobile Text Terms of Use. There are separate opt-ins for mobile and email communications. 

GENERAL TERMS AND CONDITIONS

1. We and our respective related companies, parents, subsidiaries, affiliates, and respective agents and their agencies, suppliers, and other companies involved in the development and execution of the Rewards Program (hereinafter collectively referred to as “Releasees”) are not responsible for problems related to any of the equipment or programming associated with the Rewards Program or utilized by you or any Enrolled Customer, for any human error, for any interruption, deletion, omission, defect, or line failure of any telephone network or electronic transmission, for problems relating to computer equipment, software, inability to access the website, or for any other technical or non-technical error or malfunction. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL ANY OF THE RELEASEES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE REWARDS PROGRAM, CASH REWARDS, OR MERCHANDISE OFFERED THROUGH THE REWARDS PROGRAM, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF WE IMPROPERLY DENY ANY ENROLLED MEMBER ANY POINTS OR CASH REWARDS, LIABILITY WILL BE LIMITED TO THE EQUIVALENT AMOUNT OF POINTS OR CASH REWARDS.
2. Village Market, its joint ventures, officers, directors, employees, shareholders, agents, successors, assigns, and service providers are not responsible for any products or services offered by any current, future or past Rewards Program partners. You agree to rely solely on the manufacturer warranties, if any, for any products redeemed through this Rewards Program.  TO THE FULLEST EXTENT ALLOWABLE BY LAW, VILLAGE MARKET SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PRODUCTS AND/OR SERVICES OFFERED BY ANY REWARDS PROGRAM SUPPLIER, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PUPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. 
3. Any and all disputes, claims, and causes of action arising out of or connected with this Rewards Program, or Points or Cash Rewards obtained through the Rewards Program, shall be resolved individually, without resort to any form of class action.
4. Any and all claims and judgments shall be limited to actual out-of-pocket costs incurred, but in no event shall attorney fees be recoverable from us.
5. All issues and questions concerning the construction, validity, interpretation, and enforceability of the Terms and Conditions, or the rights and obligations in connection with this Rewards Program, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules or provisions.
6. These Terms and Conditions, as may be amended from time to time, constitute the entire agreement pertaining to the subject matter hereof and supersedes all prior or other arrangements, understandings, and negotiations and discussions, whether oral or written. No waiver of any of the provisions of these Terms and Conditions shall be deemed or shall constitute a waiver of any other provisions hereof the program, nor shall waiver constitute a continuing waiver unless otherwise expressly provided.
7. If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect.

1. The Rewards Program will continue until terminated by Village Market.
2. You may terminate your participation in the Rewards Program at any time by contacting us at info@villagemarket.net.
3. The Rewards Program and benefits are offered at our sole discretion. We are the final authority for membership and Points and Cash Rewards issuance and adjustment determinations.
4. Noncompliance with these Terms and Conditions and Rules is a violation of the Rewards Program and may result in your removal from the Rewards Program and potential forfeiture of unredeemed Points and Cash Rewards.
